Terms & Conditions

These Terms & Conditions ("Terms") govern your use of www.yaffagraceco.com (the "Site") and all services and digital products provided by Yaffa Grace Co., doing business as Yaffa Grace & Co. ("YGC," "we," "us," or "our"). By using this Site, purchasing any service or digital product, or otherwise engaging with YGC, you agree to be bound by these Terms in their entirety. If you do not agree, do not use this Site or purchase any YGC product or service.

These Terms apply to all users, including individual clients ("Individual Clients") and organizational clients such as employers, HR leaders, and corporate buyers ("Organizational Clients") (collectively, "you" or "Client").

1. Overview of Services and Products

YGC provides career strategy, recruiter intelligence, and talent advisory services for BioPharma commercial professionals and organizations. Current offerings include:

• Career Strategy Sessions (individual, 60 minutes)
• Signature Career Positioning packages (resume, LinkedIn profile, and positioning strategy)
• Private Career Partnership retainers (high-touch, application-only advisory engagements)
• Digital products, including downloadable prompt packs, career intelligence tools, and self-guided programs (collectively, "Digital Products")
• Organizational talent advisory, commercial team outplacement support, and CHRO consulting services
• Additional services as described on the Site or in a written service agreement

Service offerings may change at any time. Current published pricing and descriptions on the Site govern each transaction at the time of purchase. These Terms apply to all services and products unless a separate executed written agreement expressly supersedes them.

2. Eligibility

To use YGC's services or purchase any product, you must be at least 18 years of age and have the legal authority to enter into binding contracts under applicable law. Organizational Clients represent and warrant that the individual agreeing to these Terms has authority to bind the organization.

3. Booking, Payment, and Cancellation

3.1 Booking and Payment

All services must be booked through YGC's designated scheduling platform (currently Acuity Scheduling) and paid in full at the time of booking via the payment processor designated at checkout (currently Stripe). Booking constitutes acceptance of these Terms. No payment plans are available unless expressly agreed to in writing by YGC prior to booking.

3.2 Cancellation and Rescheduling

• Session cancellations made fewer than 24 hours before the scheduled start time forfeit the session fee in full.
• Cancellations made 24 hours or more in advance may be rescheduled once within 30 days, at YGC's sole discretion.
• No refunds will be issued after a session has been delivered, materials have been sent, or work has begun.
• Multi-session packages and retainer engagements are non-refundable once any portion of the service has been rendered.

3.3 No Refund Policy

ALL SALES ARE FINAL. YGC does not issue refunds for any reason, including dissatisfaction with outcomes, change of mind, change in employment status, failure to use purchased sessions or materials, or inability to complete an engagement due to client circumstances. This applies to all individual services, packages, retainers, and Digital Products.

The fee paid for a Career Strategy Session credits in full toward any subsequent engagement if the client moves forward within 30 days of the session date. This credit is non-transferable, non-refundable, and expires after 30 days.

3.4 Chargebacks

By purchasing any YGC service or product, you agree not to initiate a chargeback or payment dispute without first contacting YGC at yaffa@yaffagraceco.com and allowing a good-faith opportunity to resolve the concern. Unauthorized chargebacks constitute a material breach of these Terms and may result in collections action.

4. Digital Products

4.1 License Grant

Upon purchase, YGC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Digital Product for your own personal, non-commercial career purposes. This license does not transfer any ownership or intellectual property rights.

4.2 Prohibited Uses

You may not share, distribute, resell, sublicense, or transfer any Digital Product to any third party; reproduce or create derivative works; upload any Digital Product into any AI training dataset or automated system; or use any Digital Product for any commercial purpose.

4.3 No Refunds on Digital Products

All Digital Product sales are final at the moment of delivery or access grant. Because Digital Products are immediately accessible upon purchase, YGC does not issue refunds under any circumstances.

5. No Guarantees and Limitation of Liability

5.1 No Guarantee of Results

YGC makes no guarantee of job placement, interview invitations, salary outcomes, offer timelines, hiring decisions, or any other specific result. Career outcomes depend on factors outside YGC's control including market conditions, employer decisions, and client execution. Past client results described in YGC marketing materials are illustrative only.

5.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YGC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM IS LIMITED TO THE TOTAL AMOUNT YOU ACTUALLY PAID YGC FOR THE SPECIFIC SERVICE OR PRODUCT GIVING RISE TO THE CLAIM. YGC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, REPUTATIONAL HARM, OR EMOTIONAL DISTRESS.

6. Indemnification

You agree to defend, indemnify, and hold harmless Yaffa Grace & Co., its owner, affiliates, successors, and assigns from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or any YGC service or product, your violation of these Terms, any misrepresentation you make to YGC or any third party, or your violation of any applicable law.

7. Intellectual Property and Prohibition on AI Training

7.1 YGC Ownership

All YGC content including website copy, downloadable materials, written methodologies, proprietary career strategy systems (including the GTMResume methodology and all derivative frameworks), session recordings, guides, templates, Digital Products, and email content is the sole and exclusive intellectual property of Yaffa Grace & Co., protected by U.S. copyright, trademark, trade secret, and other applicable intellectual property laws.

7.2 Client Deliverables

Individual Clients retain full personal ownership of final deliverables created specifically for them for their own personal career use. All underlying frameworks, methodologies, proprietary processes, and templates remain the exclusive intellectual property of YGC. Client deliverables may not be resold, repurposed for commercial use, or transferred to any third party.

7.3 Prohibition on AI Training Use

YGC's content, frameworks, recordings, materials, methodologies, deliverables, and Digital Products may not be used, in whole or in part, to train, fine-tune, evaluate, benchmark, or otherwise develop any AI model, machine learning system, or large language model, or to build any competing product or service. This prohibition applies to all parties including clients, third-party vendors, and technology companies.

8. AI Tools Disclosure and Limitation of Liability

8.1 YGC's Use of AI Tools

YGC may use AI tools to assist with content research, drafting, session preparation, and market intelligence. All AI-assisted outputs are reviewed, edited, and approved by Yaffa Grace before delivery. YGC does not intentionally input personally identifiable client information into third-party AI systems. YGC is not liable for errors in AI-assisted content that has been reviewed and approved prior to delivery.

8.2 Client Responsibilities Regarding AI

Clients may not use AI-generated content to misrepresent their professional background, credentials, or work history in any materials YGC is engaged to assist with. If YGC discovers such misrepresentation, YGC reserves the right to immediately terminate the engagement with no refund, refuse future services, and disavow any association with materials containing misrepresentations.

9. Prohibition on Scraping and Automated Access

You may not use bots, crawlers, scrapers, automated scripts, AI data-harvesting tools, or any other automated means to access, copy, index, extract, or analyze content from this Site or any YGC materials for any purpose without express prior written permission from YGC.

10. Confidentiality

YGC treats all client information as confidential and will not disclose it to any third party except as required by law. Clients agree not to share session content publicly, input YGC materials into third-party AI systems in a manner that discloses YGC's proprietary methodology, or record sessions without prior written consent. Confidentiality obligations survive termination of any engagement.

11. Testimonials and Marketing License

By providing feedback about your experience with YGC, you grant YGC a non-exclusive, perpetual, royalty-free license to use anonymized or attributed versions of your feedback for marketing and promotional purposes. Your identifying information will not be used without explicit written permission. To opt out, notify YGC at yaffa@yaffagraceco.com.

12. Non-Disparagement

You agree to communicate concerns directly to YGC before making any public statement about your experience. You agree not to publicly defame, disparage, or make false statements about YGC, Yaffa Grace, or YGC's services.

13. Disclaimer of Warranties

THE SITE AND ALL YGC SERVICES AND DIGITAL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

14. Force Majeure

YGC shall not be liable for any failure or delay in performance caused by circumstances beyond YGC's reasonable control, including acts of God, pandemic, governmental action, internet outages, or platform failures by third-party providers. YGC will make reasonable efforts to reschedule affected sessions.

15. Termination

YGC reserves the right to refuse, suspend, or terminate service to any individual or organization at any time for any reason, including abuse, misrepresentation, fraud, or material breach of these Terms. In cases of termination for cause, no refund will be issued.

16. Governing Law — Washington State

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law provisions. Any claims not subject to arbitration shall be brought exclusively in the state or federal courts located in King County, Washington.

17. Dispute Resolution and Binding Arbitration

Before initiating formal proceedings, both parties agree to attempt resolution through good-faith written communication at yaffa@yaffagraceco.com. If not resolved within 30 days, disputes shall be resolved by binding arbitration in Washington State. Each party bears its own attorneys' fees unless the arbitrator determines otherwise. You and YGC each waive the right to a jury trial and to participate in any class action. Nothing prevents either party from seeking emergency injunctive relief to prevent irreparable harm.

18. Severability and Entire Agreement

If any provision of these Terms is found invalid or unenforceable, it shall be modified to the minimum extent necessary, and remaining provisions continue in full force. These Terms, together with any applicable service agreement, constitute the entire agreement between you and YGC.

19. Changes to These Terms

YGC reserves the right to update these Terms at any time. Changes will be posted to the Site with an updated effective date. Continued use of the Site or services after changes are posted constitutes acceptance of the revised Terms.
